Terms and Conditions for District Financial


These terms and conditions ("Terms") govern your access to and use of the web portal ("Portal") operated by District Financial PLLC ("Company"). By using the Portal, you agree to be bound by these Terms.

Intellectual Property Rights

The Portal and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are permitted to use the Portal and its contents only as expressly authorized by these Terms. You may not copy, modify, distribute, display, transmit, reproduce, or otherwise exploit any part of the Portal or its contents without the prior written consent of the Company.

User Content

The Portal may allow you to upload, submit, store, send, or receive content, including but not limited to financial records and reports ("User Content"). You retain all ownership rights in your User Content, but you grant the Company a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Portal and the Company's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize the use of your User Content as described herein. You also represent and warrant that your User Content, and the use thereof as contemplated herein, does not and will not violate, misappropriate, or infringe on the rights of any third party, including intellectual property, privacy, publicity, or other proprietary rights.

The Company has the right, but not the obligation, to monitor, review, screen, and remove any User Content at any time and for any reason, including for violations of these Terms.


The Company will take reasonable measures to maintain the confidentiality and security of your User Content, including financial records and reports. However, the Company cannot guarantee that unauthorized third parties will never be able to defeat the security measures or access your User Content, and you agree that the Company will not be liable for any such unauthorized access.

Limitation of Liability

To the fullest extent permitted by law, the Company and its affiliates, officers, employees, agents, partners, and licensors will not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Portal, whether based on contract, tort, strict liability, or any other legal theory, even if the Company has been advised of the possibility of such damages.


You agree to indemnify, defend, and hold harmless the Company and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or in connection with your use of the Portal, your User Content, or your violation of these Terms.

Governing Law

These Terms and your use of the Portal will be governed by and construed in accordance with the laws of the District of Columbia, without giving effect to any choice or conflict of law provision or rule.

Changes to Terms

The Company reserves the right to modify these Terms at any time without prior notice. Your continued use of the Portal after any such modifications constitutes your acceptance of the revised Terms.


The Company may terminate or suspend your access to the Portal at any time, without notice and for any reason, including for violation of these Terms.

Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding your use of the Portal and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and the Company.
