Introduction

The Portal and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof), are owned by the Company or its licensors and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You are permitted to use the Portal and its contents only as expressly authorized by these Terms. You may not copy, modify, distribute, display, transmit, reproduce, or otherwise exploit any part of the Portal or its contents without the prior written consent of the Company.

User Content

The Portal may allow you to upload, submit, store, send, or receive content, including but not limited to financial records and reports ("User Content"). You retain all ownership rights in your User Content, but you grant the Company a non-exclusive, transferable, sublicensable, royalty-free, worldwide license to use, copy, modify, create derivative works based on, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Portal and the Company's business and on third-party sites and services), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity.

You represent and warrant that you own or have the necessary rights and permissions to use and authorize the use of your User Content as described herein. You also represent and warrant that your User Content, and the use thereof as contemplated herein, does not and will not violate, misappropriate, or infringe on the rights of any third party, including intellectual property, privacy, publicity, or other proprietary rights.

The Company has the right, but not the obligation, to monitor, review, screen, and remove any User Content at any time and for any reason, including for violations of these Terms.

However, the Company cannot guarantee that unauthorized third parties will never be able to defeat the security measures or access your User Content, and you agree that the Company will not be liable for any such unauthorized access.
